Accredited Investor Requirements
The SEC defines an accredited investor as an individual or entity that meets at least one of the following criteria:
Qualification Methods for Accredited Investor Status
Income-Based Qualifications
- Individual income exceeding $200,000 in each of the two most recent years, with reasonable expectation of reaching the same income level in the current year
- Joint income with spouse exceeding $300,000 in each of the two most recent years, with reasonable expectation of reaching the same income level in the current year
Net Worth Qualifications
- Net worth exceeding $1,000,000 (individually or with spouse), excluding primary residence
Professional Credentials
- Holding certain professional certifications (Series 7, 65, or 82 licenses)
- Being a "knowledgeable employee" of a private fund (for investments in that fund)
- SEC or state-registered investment adviser, or exempt reporting adviser
Business Entity Qualifications
- Entity with investments exceeding $5 million not formed to acquire the offered securities
- Entity owned entirely by accredited investors
- Financial institutions (banks, insurance companies, registered investment companies)
- Rural Business Investment Company (RBIC)
Special Status Qualifications
- Directors, executive officers, or general partners of the issuer or its general partner
- Family office with investments under management of at least $5 million, not formed to acquire the offered securities
- Family clients of an eligible family office
- Indian tribes, governmental bodies, or funds with $5+ million in investments

$250,000+ Investment Qualification
Under recent SEC amendments, investors making a qualified investment of $250,000 or more in a single offering can qualify as accredited investors.
Family Office Qualification
Family offices with $5+ million in investments and their family clients can qualify as accredited investors under SEC rules.
Insider Status Verification
Directors, executive officers, and general partners of the issuing company automatically qualify as accredited investors.
Entity-Based Qualification
Entities with $5+ million in investments including corporations, partnerships, Indian tribes, governmental bodies, and foreign entities, or entities owned entirely by accredited investors.
